7. Fees and Payments

  • Payments are due according to invoice terms.

Failure to make timely payments may result in delayed delivery, suspension, or termination of services.

Client Property

All trademarks, logos, content, branding, customer data, and materials provided by clients remain the property of the client.

Clients grant RyzeMatic a limited license to use such materials solely for the purpose of delivering services.

RyzeMatic Property

All proprietary methodologies, frameworks, systems, templates, processes, documentation, automations, software configurations, and internal strategies remain the intellectual property of RyzeMatic unless otherwise agreed in writing.



9. Confidentiality


Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the business relationship.

Confidential information includes but is not limited to:

  • Business strategies

  • Marketing data

  • Financial information

  • Customer information

  • Technical documentation

  • Proprietary systems


Confidential information shall not be disclosed except where required by law or with prior written consent.



10. Third-Party Platforms


Our services may involve third-party platforms including:

  • LinkedIn

  • Microsoft

  • TikTok

  • CRM providers

  • Hosting providers

  • Automation providers

  • AI service providers


RyzeMatic is not responsible for:

  • Platform outages

  • Policy changes

  • Account suspensions

  • Service interruptions

  • Algorithm updates

  • Third-party pricing changes


Use of such platforms remains subject to their own terms and policies.



11. Limitation of Liability


To the maximum extent permitted by law, RyzeMatic shall not be liable for:

  • Lost profits

  • Business interruption

  • Loss of goodwill

  • Indirect damages

In all circumstances, RyzeMatic's total liability shall not exceed the amount paid by the client for services during the three months preceding the event giving rise to the claim.

13. Termination

Upon termination:

  • Outstanding invoices become immediately due.

RyzeMatic reserves the right to refuse or terminate services for any unlawful, abusive, fraudulent, or inappropriate activity.
